Graypie — Terms of Service

Last updated: October 1, 2026 Effective date: October 1, 2026

These Terms of Service ("Terms") are a binding agreement between you and Graypie ("Graypie," "we," "us," or "our"), the company that operates the Graypie platform at https://graypie.com and its related applications, websites, and services (collectively, the "Service"). Please read them carefully. By creating an account, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Introduction & Acceptance

1.1 Graypie is a cloud-based Business Operating System for retail and commerce businesses. The Service provides tools that may include point of sale (POS), inventory and stock management, purchasing and suppliers, sales and returns, customers and loyalty, finance and accounting, expenses, payroll, employees and attendance, roles and permissions, reporting and analytics, an online store, and related features, offered on a subscription basis.

1.2 By clicking "I agree" (or a similar button), signing up, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by any policies referenced here, including our Privacy Policy and our Security Policy.

1.3 If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, and "you" refers to that entity.

2. Definitions

3. Eligibility & Accounts

3.1 Eligibility. You must be at least 18 years old (or the age of majority in your jurisdiction) and capable of forming a binding contract to use the Service.

3.2 Registration. You agree to provide accurate, current, and complete information when creating your Account and to keep it up to date.

3.3 Account security. You are responsible for safeguarding your credentials, for enabling available security features (such as two-factor authentication), and for all activity that occurs under your Account and your Authorized Users. Notify us immediately at security@graypie.com if you suspect any unauthorized access.

3.4 Authorized Users. You are responsible for your Authorized Users' use of the Service and their compliance with these Terms. You control their roles and permissions within your Business.

3.5 One person, one identity. You may not share a single login among multiple individuals where the Service provides per-user accounts; create separate team members instead.

4. The Service

4.1 Provision. Subject to these Terms and your Subscription, we grant you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Service for your internal business operations.

4.2 Updates. We continuously improve the Service and may add, change, or remove features. We will try not to materially reduce core functionality of a paid plan during a paid term without reasonable notice.

4.3 Beta features. We may offer features labeled beta, preview, or experimental. These are provided "as is," may be changed or withdrawn, and are excluded from any service commitments.

4.4 Multi-tenancy. The Service is multi-tenant. Your Business's data is logically isolated from other businesses. See our Security Policy for details.

5. Subscriptions, Trials, Billing & Taxes

5.1 Plans. Access to paid features requires an active Subscription. Plan features, limits, and prices are described at sign-up or on our pricing page and may change on a going-forward basis.

5.2 Free trials. We may offer a free trial. At the end of the trial, your Subscription may convert to a paid plan unless you cancel, and we may charge the applicable fee. Trial data may be deleted if you do not subscribe within the retention window described at Section 12.

5.3 Fees & renewal. Unless otherwise stated, Subscriptions renew automatically for successive periods (e.g., monthly or annually) at the then- current price until cancelled. You authorize us (and our payment processors) to charge your payment method for all applicable fees.

5.4 Taxes. Fees are exclusive of taxes. You are responsible for all applicable sales, use, VAT, GST, withholding, or similar taxes, excluding taxes based on our net income.

5.5 Late or failed payments. If a charge fails or a payment is overdue, we may suspend or downgrade your access after reasonable notice, and may charge interest or recovery costs where permitted by law.

5.6 Cancellation. You may cancel at any time from your account settings or by contacting billing@graypie.com. Cancellation stops future renewals; it does not, except as required by law or Section 5.7, entitle you to a refund for the current period.

5.7 Refunds. Except where required by law, fees are non-refundable. We may, at our discretion, offer pro-rated credits or refunds.

5.8 Price changes. We may change prices; changes to recurring fees apply at your next renewal and we will give you advance notice.

6. Your Data & Content

6.1 Ownership. As between you and Graypie, you own all of Your Data. We do not claim ownership of Your Data.

6.2 License to us. You grant Graypie a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit, display, and use Your Data solely as necessary to (a) provide, maintain, secure, and improve the Service; (b) prevent or address technical or security issues and enforce these Terms; and (c) comply with law. This license ends when Your Data is deleted, except for residual backups retained for a limited period and anonymized/aggregated data.

6.3 Your responsibilities. You represent that you have all rights and consents necessary to submit Your Data (including End-Customer Data) to the Service and to authorize its processing under these Terms. You are responsible for the accuracy, quality, and legality of Your Data.

6.4 End-Customer Data & data protection roles. For End-Customer Data, you act as the data controller and Graypie acts as a data processor acting on your instructions. Our processing of personal data is described in our Privacy Policy and, where applicable, a Data Processing Addendum ("DPA") that forms part of these Terms. You are responsible for providing any notices to and obtaining any consents from your End-Customers.

6.5 Aggregated/anonymized data. We may generate and use aggregated or de-identified data (which does not identify you, your Business, or any individual) to operate, analyze, and improve the Service.

7. Acceptable Use

You agree not to, and not to permit anyone to:

We may investigate and take appropriate action, including removing content, suspending access, or terminating accounts, for violations.

8. Third-Party Services & Integrations

8.1 The Service may integrate with or link to third-party products, services, or content (e.g., payment processors, messaging providers, hosting, analytics, and AI providers). Your use of third-party services is governed by their terms and privacy policies. We are not responsible for third-party services and do not endorse them.

8.2 If you enable an integration, you authorize us to exchange Your Data with that third party as needed for the integration. You are responsible for your use of such integrations.

9. Intellectual Property

9.1 The Service, including its software, design, text, graphics, logos, the Graypie name and marks, and all related intellectual property, is owned by Graypie or its licensors and is protected by law. Except for the limited rights expressly granted to you, no rights are granted.

9.2 Feedback. If you provide suggestions or feedback, you grant Graypie a perpetual, irrevocable, royalty-free license to use it without restriction or obligation to you.

10. Confidentiality

Each party may access the other's confidential information. The receiving party will protect it with reasonable care, use it only to perform under these Terms, and not disclose it except to those who need to know and are bound by confidentiality obligations. This does not apply to information that is public, independently developed, or rightfully received from a third party, or where disclosure is legally required.

11. Service Availability & Support

11.1 We aim to make the Service available with high reliability but do not guarantee uninterrupted or error-free operation except as set out in any separately agreed service-level commitment.

11.2 We may perform scheduled or emergency maintenance, and will use reasonable efforts to minimize disruption.

11.3 Support is provided through the channels and at the levels described for your plan (e.g., support@graypie.com).

12. Data Retention, Export & Deletion

12.1 During the term. You may access and export Your Data using the Service's available export features.

12.2 After termination. Following termination or expiry, we may make Your Data available for export for a limited period of 30 days, after which we may delete or anonymize it, subject to legal retention requirements and residual backups that expire on a rolling basis.

12.3 Trial/inactive accounts. We may delete data associated with expired trials or long-inactive accounts after reasonable notice.

13. Suspension & Termination

13.1 By you. You may stop using and cancel the Service at any time (Section 5.6).

13.2 By us. We may suspend or terminate your access (a) for material breach of these Terms not cured within a reasonable period; (b) for non-payment; (c) if required by law; (d) to protect the Service, other users, or third parties from harm or security risk; or (e) on notice for convenience with a pro-rated refund of prepaid, unused fees where required.

13.3 Effect. Upon termination, your right to use the Service ends. Sections that by their nature should survive (including 6.1, 9, 10, 14–18, and 20) survive.

14. Disclaimers

EXCEPT AS EXPRESSLY STATED, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE. GRAYPIE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DATA WILL ALWAYS BE ACCURATE OR PRESERVED. GRAYPIE IS A BUSINESS TOOL AND DOES NOT PROVIDE LEGAL, TAX, ACCOUNTING, OR FINANCIAL ADVICE; YOU ARE RESPONSIBLE FOR YOUR OWN COMPLIANCE, INCLUDING TAX FILINGS AND RECORD- KEEPING.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

15.1 NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY.

15.2 EACH PARTY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID TO GRAYPIE FOR THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

15.3 These limitations do not apply to liability that cannot be limited by law (for example, fraud, gross negligence, or death/personal injury caused by negligence), to your payment obligations, or to a party's indemnification obligations.

16. Indemnification

You will defend, indemnify, and hold harmless Graypie and its affiliates, officers, and employees from and against any third-party claims, damages, and reasonable costs (including legal fees) arising from (a) Your Data or End-Customer Data; (b) your use of the Service in violation of these Terms or law; or (c) your breach of your data-protection obligations toward your End-Customers.

17. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice (for example, by email or in-product notice). Changes take effect on the stated effective date. Your continued use after that date constitutes acceptance. If you do not agree, you must stop using the Service.

18. Governing Law & Dispute Resolution

18.1 These Terms are governed by the laws of the jurisdiction in which Graypie is established, without regard to its conflict-of-laws rules.

18.2 The parties will first attempt to resolve any dispute informally by contacting legal@graypie.com. If a dispute cannot be resolved informally, it will be subject to the exclusive jurisdiction of the competent courts of that jurisdiction, unless the parties have agreed otherwise in a separate written order form.

19. Export, Sanctions & Anti-Corruption

You represent that you and your Authorized Users are not located in, and will not use the Service in, a country or region subject to comprehensive sanctions, and that you are not on any restricted-party list. You will comply with applicable export-control, sanctions, and anti-bribery laws.

20. Force Majeure

Neither party is liable for delays or failures caused by events beyond its reasonable control, including natural disasters, war, civil unrest, labor disputes, internet or utility failures, or acts of government.
